01 Definitions

For the purposes of these Terms of Use, the following terms shall have the meanings set out below:

"Costrol" / "the Company" / "we"
Costrol SpA, a corporation incorporated and domiciled in Santiago, Chile, owner and operator of the costrol.cl platform.
"Service" / "Platform"
The financial management software for construction projects accessible through costrol.cl and its subdomains, including all its features.
"User" / "Customer" / "you"
Any natural or legal person who registers, accesses or uses the Service, including during the free trial period.
"Account"
The individual access to the Service created through the registration process, identified by an email and protected by a password.
"User Data"
All information uploaded, imported or generated by the User on the Platform, including bank statements, transactions, categories, project data and reports.
"Plan" / "Subscription"
The contracted access level (Starter, Pro or Enterprise) with its features, limits and corresponding price, on a monthly or annual basis.
"Trial Period"
The 14 calendar days from the registration date during which the User may use the Service at no cost and without providing payment details.

02 Acceptance of terms

By creating an account, accessing or using the Service, the User acknowledges having read, understood and fully accepted these Terms of Use, as well as Costrol's Privacy Policy.

If the User acts on behalf of a company or organization, they declare having the authority to bind it by accepting these terms.

If you disagree with any of these terms, do not use the Service. Continued use of the Platform after modifications are published constitutes acceptance of those changes.

The person accepting these terms must be over 18 years of age and have full legal capacity to contract under Chilean law.

03 Service description

Costrol is a SaaS financial management platform designed specifically for construction companies and project administrators in Chile. The Service includes, among other features:

  • Automatic import and processing of bank statements in PDF and CSV format.
  • Classification and categorization of bank transactions (income and expenses).
  • Assignment of transactions to specific projects or job sites.
  • Visual dashboard with cost, income and margin metrics per project.
  • Automatic bank reconciliation engine.
  • AI-powered classification suggestions (Pro and Enterprise plans).
  • Report export in PDF and Excel format (depending on plan).
  • REST API for external integrations (Enterprise plan).

Costrol reserves the right to modify, expand, limit or discontinue Service features, notifying Users at least 30 days in advance for substantial changes.

04 Account registration & security

4.1 Account creation

To access the Service, the User must create an account providing accurate, complete and up-to-date information. Registration can be completed with email and password.

4.2 User responsibility

The User is responsible for:

  • Maintaining the confidentiality of their access credentials (email and password).
  • All activities occurring under their account, with or without their authorization.
  • Notifying Costrol immediately of any unauthorized use via soporte@costrol.cl.
  • Not sharing their credentials with unauthorized third parties.

4.3 Team accounts

The account holder (main administrator) is responsible for all users invited to their workspace. Creating additional users is subject to the limits of the contracted plan.

We recommend enabling two-factor authentication (2FA) in Settings → Security to protect your account from unauthorized access.

05 Plans, pricing & payment terms

5.1 Available plans

Costrol offers the following subscription plans, priced in Chilean pesos (CLP):

Prices and features for each plan are detailed at costrol.cl/#precios and may change as outlined in clause 14.

5.2 Billing & payment methods

  • Monthly subscriptions are billed on the same day each month as the original subscription date.
  • Annual subscriptions are billed in full at the start of the annual period.
  • Accepted methods: Visa and Mastercard credit cards, RedCompra debit cards, bank transfer and WebPay Plus.
  • Costrol issues electronic receipts for individuals and electronic invoices for businesses, both valid with the SII tax authority.

5.3 Taxes

Published prices include the 19% VAT applicable in Chile. Costrol will issue the corresponding tax documents based on the Client's nature (individual or business).

5.4 Failed payments

In case of a failed charge, Costrol will notify the User by email and attempt the charge up to 3 times over 7 days. If unsuccessful, access to the Service may be suspended until payment is resolved, without deletion of User Data.

06 Free trial period

Every new User is entitled to a free trial period of 14 calendar days from the registration date, with full access to Pro plan features.

  • No credit card or payment method is required to start the trial.
  • After 14 days, the User may subscribe to a paid plan or the account will automatically become inactive.
  • Data entered during the trial is retained for 30 additional days in inactive state.
  • The trial applies once per individual or legal entity. Creating multiple accounts to extend it constitutes a violation of these Terms.

07 Cancellation & suspension

7.1 Cancellation by the User

The User may cancel their subscription at any time from Settings → Subscription → Cancel plan, without contacting support.

  • Cancellation is effective at the end of the already-paid period. No additional charges are made and no early cancellation penalty applies.
  • For annual subscriptions, cancellation stops auto-renewal at the end of the annual period. No pro-rata refunds are made for the remaining time, except as stated in clause 7.3.
  • After cancellation, User Data is retained for 90 calendar days for export.

7.2 Suspension & cancellation by Costrol

Costrol may suspend or cancel an account in the following cases:

  • Breach: Violation of these Terms of Use.
  • Non-payment: Failure to pay after the 3 charge attempts and 7-day grace period.
  • Fraud: Fraudulent use, including multiple accounts to circumvent the trial period.
  • Legal mandate: Requirement by competent authority.

In case of cancellation for breach, no refunds will be made for the unused period.

7.3 Exceptional refunds

Costrol will evaluate refund requests within the first 7 calendar days of a new paid subscription period, if the Service does not meet what is described in these Terms. Requests should be sent to soporte@costrol.cl.

08 Acceptable use policy

The User agrees to use the Service only for lawful purposes. The following are expressly prohibited:

  • Using the Service for illegal activities or that violate applicable Chilean or international laws.
  • Uploading false, altered or misleading financial information.
  • Attempting to access other users' accounts, third-party data or non-public parts of the system.
  • Reverse engineering, decompiling or attempting to obtain the source code of the Service.
  • Using bots, scrapers or other automated means to access the Service without express authorization.
  • Overloading or interfering with the Service infrastructure, including DDoS attacks.
  • Reselling, sublicensing or commercializing access to the Service without written authorization from Costrol.
  • Creating multiple accounts to circumvent suspensions, plan limits or the trial period.
  • Using the Service to process third-party information without their consent.

Violation of this policy may result in immediate account suspension without refund and, in serious cases, civil or criminal legal action.

09 User Data & privacy

9.1 Data ownership

User Data belongs exclusively to the User. Costrol acts as a data processor and has no ownership rights over the financial information uploaded to the Platform.

9.2 Operational use license

The User grants Costrol a limited, non-exclusive, non-transferable license to process, store and manage User Data solely for the purpose of providing the contracted Service.

9.3 Confidentiality & non-disclosure

Costrol commits to:

  • Not selling, renting, assigning or disclosing User Data to third parties for commercial purposes.
  • Not using User Data for purposes other than providing the Service.
  • Implementing reasonable technical and organizational measures to protect User Data.

9.4 Privacy policy

The detailed processing of personal data is governed by our Privacy Policy, in accordance with Chilean Law N° 19.628 on the Protection of Private Life.

10 Intellectual property

10.1 Costrol ownership

The Platform, its source code, algorithms, design, brand, logo, texts, interfaces and all associated documentation are the exclusive property of Costrol SpA or its licensors.

10.2 Service use license

Costrol grants the User a limited, personal, non-exclusive, non-transferable and revocable license to access and use the Service during the term of their active subscription.

10.3 Restrictions

This license does not include the right to:

  • Reproduce, distribute, modify or create derivative works of the Service.
  • Use the "Costrol" brand or any other distinguishing mark of the Company without written authorization.
  • Use the Service to develop competing products.

10.4 Feedback

Any suggestion, idea or comment the User sends to Costrol about the Service may be used by Costrol without restrictions or obligation of compensation.

11 Service availability & SLA

11.1 Availability commitment

Costrol commits to maintaining a minimum monthly Service availability according to the contracted plan:

11.2 Scheduled maintenance

Costrol will notify scheduled maintenance at least 72 hours in advance by email and the status panel at costrol.cl/estado. Maintenance will preferably occur between 02:00 and 06:00 CLT.

11.3 Exclusions

Availability commitments do not apply to outages caused by: force majeure, third-party attacks, failures of external providers (banks, SII, etc.), notified scheduled maintenance, or User actions.

12 Limitation of liability

To the maximum extent permitted by applicable Chilean law:

12.1 Disclaimer of warranties

The Service is provided "as is" and "as available". Costrol does not warrant that the Service will be uninterrupted, error-free, completely secure or will meet all of the User's specific needs.

12.2 Liability cap

Costrol's total liability to the User, for any cause and under any legal theory, shall be limited to the total amount paid by the User in the 3 months immediately preceding the event giving rise to the claim.

12.3 Excluded damages

Costrol shall not be liable for indirect, incidental, special, consequential or punitive damages, including: loss of income, data loss, reputational harm or loss of business opportunities.

Costrol is not responsible for financial, business or tax decisions the User makes based on information generated by the Platform. This information is for reference only and does not substitute professional advice.

13 Indemnification

The User agrees to defend, indemnify and hold harmless Costrol SpA, its directors, employees and service providers from any claims arising from:

  • The User's use of the Service in violation of these Terms.
  • Infringement of third-party rights, including intellectual property or privacy rights.
  • Uploading or transmitting User Data that is illegal, inaccurate or infringes third-party rights.
  • False statements made by the User during registration or use of the Service.

14 Modifications to terms & service

14.1 Terms modification

Costrol reserves the right to modify these Terms of Use at any time. Modifications will be notified to the User via:

  • Email to the registered address, at least 30 days in advance for material changes.
  • Prominent notice on the Platform at login.
  • Update of the "Last updated" date at the top of this document.

If the User disagrees with the new Terms, they may cancel their subscription before the effective date of changes, without penalty.

14.2 Pricing modification

Pricing changes will be communicated with at least 60 days' notice. Prices applicable to already-paid annual subscriptions will not change until the current period expires.

14.3 Service discontinuation

In the unlikely event that Costrol decides to discontinue the Service, Users will be notified with at least 90 days' notice, data export tools will be provided and pro-rata refunds of annual subscriptions for unused time will be issued.

15 Jurisdiction & applicable law

These Terms of Use are governed and interpreted in accordance with the laws of the Republic of Chile, in particular:

  • Law N° 19.628 on the Protection of Private Life.
  • Law N° 19.496 on the Protection of Consumer Rights.
  • Law N° 20.169 on Unfair Competition.
  • Civil Code and Commercial Code of the Republic of Chile.

For dispute resolution, the parties submit to the jurisdiction of the Ordinary Courts of Justice of the city of Santiago.

Before resorting to judicial proceedings, the parties agree to attempt an amicable resolution through direct communication for a period of 30 days.
